Agreement to Terms

By accessing or using AdminAssist Ally ("the Service") at adminassistally.com, or by communicating with an AI assistant bot set up and managed by AdminAssist Ally, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our service.

Description of Service

AdminAssist Ally provides a managed personal AI assistant service. We build, configure, and host private AI assistant bots delivered via Telegram on behalf of our clients. Services include persistent memory, web research, scheduling reminders, note organization, and custom automations depending on your plan. All assistants are set up and operated by AdminAssist Ally on your behalf.

Your AI assistant can and will make mistakes. Do not rely on it for important decisions without reviewing its output.

The assistant is provided as a productivity and organizational aid only. It is not a substitute for professional judgment, licensed advice, or human oversight. Outputs may be inaccurate, incomplete, or outdated.

AdminAssist Ally assistants are not authorized to provide legal, medical, financial, or investment advice. Any information the assistant provides on these topics is for general informational purposes only and should not be acted upon without consulting a qualified professional.

You are solely responsible for reviewing assistant outputs before acting on them.

User Accounts

You must be at least 18 years old to create an account.
You are responsible for maintaining the confidentiality of your account credentials and your Telegram account.
You are responsible for all activity that occurs under your account and through your assigned assistant bot.
You must provide accurate and complete information when creating your account and completing setup.
You may not share your bot access or account with other individuals unless explicitly permitted by your plan.
You must notify us immediately at support@adminassistally.com of any unauthorized use of your account or bot.

Subscriptions and Billing

Plans

We offer the following subscription plans:

Starter ($30/month): Shared VPS environment, 8B local AI model, core assistant features including reminders, notes, research, and Obsidian knowledge vault. One-time $99 setup fee.
Pro ($75/month): Private VPS, 10–14B local AI model, all Starter features plus calendar integration, email summaries, custom skills, and priority support. One-time $149 setup fee.
Elite ($150/month): Private mid-level VPS, 24B local AI model, all Pro features plus custom business automation, dedicated onboarding call, and SLA. One-time $199 setup fee.

Setup Fee

All plans require a one-time setup fee paid at the time of purchase. This fee covers the time required to build, configure, and test your personal AI assistant before handoff. Setup fees are non-refundable once setup work has begun.

Billing

Subscriptions are billed in advance on a monthly, 6-month, or annual basis depending on the plan you select. All billing is processed through Stripe. By providing payment information, you authorize us to charge your payment method for the applicable fees.

Cancellation and Refunds

You may cancel your subscription at any time from your client portal. Upon cancellation, your assistant will remain active through the end of your current billing period. We do not provide prorated refunds for partial billing periods. Annual or 6-month subscriptions cancelled within 14 days of renewal may be eligible for a refund — contact us at support@adminassistally.com.

Price Changes

We reserve the right to modify subscription pricing. We will provide at least 30 days advance notice of any price changes via email before they take effect.

Acceptable Use

You agree not to use the service or your assigned assistant to:

Violate any applicable law, regulation, or third-party rights
Generate, distribute, or store illegal content of any kind
Harass, threaten, or harm any individual or group
Attempt to manipulate, jailbreak, or bypass the assistant's safety guidelines
Engage in fraud, phishing, spam, or deceptive practices
Attempt to gain unauthorized access to our infrastructure, other clients' bots, or any related systems
Reverse engineer, resell, or sublicense the service or any component of it
Transmit sensitive regulated data (HIPAA, FINRA, PCI, etc.) through the assistant unless a compliance agreement is in place

We reserve the right to suspend or terminate service immediately for violations of this section.

Your Data

You own the information you share with your assistant. We do not claim ownership of your notes, tasks, preferences, or other content you provide. By using the service, you grant us a limited license to store and process your data solely to deliver the service to you.

Your assistant's memory, notes, and conversation history are stored on our servers. You may request a copy of your stored data or deletion of your account data by contacting support@adminassistally.com. We will complete deletion requests within 30 days.

If you provide a BYO (bring-your-own) API key, it is stored in our encrypted API key vault using AES-256 encryption. Keys are never transmitted via email or plain text and are only accessed by AdminAssist Ally staff during provisioning.

Service Availability and Support

We strive to maintain reliable access to your assistant but do not guarantee uninterrupted service. Scheduled maintenance, infrastructure updates, or third-party outages may temporarily affect availability.

Support is included for 30 days following initial setup. After that period, support is available via email at support@adminassistally.com on a best-effort basis, with priority turnaround for Pro and Elite subscribers.

We do not provide guaranteed response times or 24/7 uptime SLAs on Starter plans. Elite plans include an SLA — see your plan details.

Intellectual Property

The AdminAssist Ally platform, including its design, code, configuration methods, and systems (excluding your personal data), is the intellectual property of AdminAssist Ally and its operators. You may not reproduce, distribute, or create derivative works without our written consent.

The AI models powering your assistant are open-source models hosted on our infrastructure. We make no claim of ownership over those models.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADMINASSIST ALLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Decisions made based on assistant outputs
Loss of data, revenue, or business opportunity
Errors, omissions, or inaccuracies in assistant responses
Service interruptions or outages
Actions taken by third-party AI model providers

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF AI OUTPUTS, OR NON-INFRINGEMENT.

AI assistants are inherently imperfect. We do not warrant that your assistant's responses will be accurate, complete, or suitable for any particular purpose.

Indemnification

You agree to indemnify and hold harmless AdminAssist Ally and its operators, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

Termination

We reserve the right to suspend or terminate your account and bot access at our discretion if you violate these Terms of Service. You may cancel your subscription at any time from your client portal. Upon termination, your bot access will end at the close of the current billing period and your data will be deleted within 30 days upon request.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email at least 14 days before changes take effect. Continued use of the service after changes constitutes acceptance of the updated Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction in Tennessee.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and AdminAssist Ally regarding the use of our service and supersede all prior agreements and understandings.

By creating an account or using the AdminAssist Ally service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, including the AI disclaimer and limitation of liability provisions.
